Terms of Service

These Terms of Service govern the use of aromawest.com and all orders placed through it. Please read them carefully. By registering an account or placing an order you accept these Terms.

These Terms should be read together with our Shipping Policy, Refund and Returns Policy, Privacy Policy and Legal Notice. Where those documents cover a specific subject in more detail, they apply in addition to these Terms.

1. Who we are

Aromawest, MB, company registration number 305600354, VAT number LT100013454019, registered office Jasinskio g. 16B-10, LT-03163 Vilnius, Lithuania (“Aromawest”, “we”, “us”). Full details are set out in our Legal Notice.

2. Definitions

  • Customer, you — the person or entity registering an account or placing an order.
  • Goods — the fragrances and related cosmetic products offered on the website.
  • Order — a request submitted by you to purchase Goods.
  • Contract — the agreement formed between you and us in accordance with section 7.
  • Website — aromawest.com and its subpages.

3. Business-to-business sales

Aromawest is a wholesale distributor. The Website is intended for businesses purchasing Goods for resale or professional use.

Orders cannot be placed as a guest. To view prices and place an Order you must register an account, and that account must be approved by us. We review each application and may decline it at our discretion. Every Order is additionally confirmed by us before it proceeds.

By placing an Order you confirm that you are acting for purposes relating to your trade, business, craft or profession.

Where a Customer nevertheless qualifies as a consumer under Lithuanian and EU law, the mandatory consumer protections under Directive 2011/83/EU and the Civil Code of the Republic of Lithuania apply and prevail over any conflicting provision of these Terms. Nothing in these Terms limits or excludes rights that cannot lawfully be limited or excluded.

4. Account registration and approval

To view prices and place Orders you must register an account and be approved by us.

  • You must provide accurate, complete and current information, including your company name, registration number and, where applicable, VAT identification number.
  • We may request supporting documentation before approving an account, and we may decline an application at our discretion.
  • You are responsible for keeping your login credentials confidential and for all activity carried out under your account.
  • You must notify us without delay if you become aware of any unauthorised use of your account.
  • You must keep your account details up to date, in particular your VAT number and delivery addresses.

We may suspend or close an account that contains inaccurate information, is used in breach of these Terms, or shows signs of unauthorised access.

5. Goods, descriptions and availability

We take care to describe Goods accurately. However:

  • Product images are illustrative. Manufacturer packaging, batch design and bottle details may change without notice.
  • Fragrance composition, note listings and volume are stated as supplied by the manufacturer.
  • Availability is not guaranteed until an Order is accepted. Stock levels change continuously.
  • Obvious errors and omissions in descriptions, images and prices are excepted and do not bind us.

We may change the assortment, discontinue Goods, or limit quantities available per Customer at any time.

6. Prices, minimum order and taxes

All prices are quoted in euro (EUR) and are exclusive of shipping, which is quoted separately in accordance with our Shipping Policy.

Minimum order value: EUR 500, excluding shipping. Orders below this value cannot be processed.

Prices may change at any time without notice. The price applicable to an Order is the price displayed at the time the Order is placed, subject to section 5.

VAT. Deliveries within Lithuania are subject to Lithuanian VAT. For business customers in other EU member states who supply a valid VAT identification number verified in the VIES system, intra-Community supplies may be zero-rated, with VAT accounted for by you under the reverse charge mechanism. Where a valid VAT number is not supplied, VAT will be charged. Deliveries outside the EU are treated as exports; import duties and taxes are payable by you as importer of record.

Prices communicated to you are confidential and are provided for your business use only. You may not publish our wholesale price lists or disclose them to third parties.

7. Placing an Order and formation of the Contract

The display of Goods on the Website is an invitation to treat, not a binding offer.

  1. Submitting an Order constitutes your offer to purchase the Goods on these Terms.
  2. Any automatic acknowledgement of receipt is confirmation that we have received your Order. It does not constitute acceptance.
  3. The Contract is formed only when we confirm and approve your Order in writing. Until that point no contract exists between us.
  4. We may decline an Order in whole or in part, including where Goods are unavailable, where a pricing error has occurred, where the minimum order value is not met, where your account is not in good standing, or where we have reasonable grounds to suspect misuse.

8. Payment

Payment is not taken online at checkout. Once your Order has been confirmed and approved, we issue an invoice and payment is settled directly with us.

  • Orders remain valid for 14 calendar days from the date they are placed. If payment is not received within that period and no other arrangement has been agreed in writing, we may cancel the Order.
  • Goods are dispatched only after payment has been received in full, unless separate payment terms have been agreed with you in writing.
  • All bank charges on your side are payable by you. We must receive the full invoiced amount.
  • Reserved stock is not held indefinitely. Goods allocated to an unpaid Order may be released back to general stock once the Order is cancelled.

Statutory default interest applies to late payment in accordance with Lithuanian law.

9. Shipping and delivery

Shipping, handling times, estimated delivery times, carriers, collection from our warehouse and how shipping cost is calculated are set out in full in our Shipping Policy, which forms part of these Terms.

In summary: handling time is 1–2 business days after payment; shipping cost is calculated individually once the Order has been packed and is confirmed with you before dispatch; you may choose between standard and insured shipping where both are available; collection from our warehouse is free of charge.

Delivery times are estimates and are not guaranteed, save that where the Customer is a consumer we will deliver no later than 30 days from conclusion of the Contract unless a different date has been agreed.

10. Transfer of risk and retention of title

Risk of loss of or damage to the Goods passes to you when the Goods are handed over to the carrier, or, where you collect the Goods yourself or through a carrier nominated by you, on handover at our warehouse.

Where the Customer is a consumer, risk passes when the consumer or a third party indicated by the consumer, other than the carrier, acquires physical possession of the Goods.

Title to the Goods remains with Aromawest until we have received payment in full, including any shipping charges. Until title passes you must store the Goods so that they remain identifiable as our property and must not pledge them or grant security over them.

11. Inspection and claims

You must inspect each consignment on delivery. Visible transport damage must be reported to the carrier and to us within 24 hours of delivery, and must be recorded on the carrier’s delivery documentation. Concealed damage, shortages and incorrect items must be reported within 3 working days of delivery.

Claims submitted outside these periods, or where the consignment was signed for without a note of damage, may be rejected by the carrier, which limits our ability to compensate. This does not affect statutory rights in respect of Goods that are defective or not as described.

12. Returns, cancellation and refunds

Returns, refunds and, where applicable, the statutory right of withdrawal are governed by our Refund and Returns Policy, which forms part of these Terms.

Please note in particular that sealed Goods which are not suitable for return for health protection or hygiene reasons, and which have been unsealed after delivery, are excluded from the right of withdrawal.

Orders that have not yet been packed can normally be cancelled at no cost. Contact your account manager as early as possible.

13. Your obligations on resale

Where you purchase Goods for resale, you do so in your own name and on your own account. You are not our agent, distributor or representative, and you may not hold yourself out as such.

You agree that you will:

  • comply with all laws applicable to the sale of cosmetic products in the markets where you resell, including Regulation (EC) No 1223/2009 on cosmetic products and the labelling and notification obligations arising under it;
  • not alter, repackage, relabel, decant, refill or tamper with the Goods or their packaging;
  • not remove, obscure or alter batch codes, barcodes or manufacturer markings;
  • store and transport the Goods appropriately, protected from heat, direct sunlight and damage;
  • not present the Goods as counterfeit, replica or imitation of any other brand, and not make comparative claims that would infringe third-party trade marks;
  • not describe the Goods in a way that is misleading as to origin, composition or manufacturer.

You are responsible for determining whether a product may lawfully be sold in your market and for any obligations you assume as a distributor or importer under applicable law.

14. Intellectual property

The Website and its content are protected by copyright as set out in our Legal Notice.

Brand names, product names, logos and trade marks of the manufacturers whose Goods we distribute are the property of their respective owners. Nothing in these Terms grants you any licence to use those marks beyond what is necessary to resell the Goods lawfully.

You may not use the Aromawest name or logo in your own advertising without our prior written consent.

15. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Where the Customer is a consumer, statutory rights are unaffected.

Subject to the paragraph above, and in dealings with business customers:

  • we are not liable for loss of profit, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss;
  • our total liability arising out of or in connection with any Contract is limited to the amount paid by you for the Goods giving rise to the claim;
  • we are not liable for losses arising from your failure to comply with section 13, or from storage or handling of the Goods after risk has passed to you.

16. Circumstances beyond our control

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including carrier network failures, strikes, extreme weather, natural disasters, epidemics, armed conflict, border closures, sanctions, customs action, supply shortages at manufacturer level, or changes in law. Where such an event occurs we will inform you as soon as practicable and agree a revised plan or, if performance becomes impossible, refund sums paid for Goods not delivered.

17. Data protection

We process personal data in accordance with our Privacy Policy.

18. Suspension and termination

We may suspend or close your account, and decline further Orders, where you materially breach these Terms, where payments are overdue, where information provided is false, or where we reasonably suspect fraudulent or unlawful use of the Website. Accrued rights and obligations of both parties survive.

19. Changes to these Terms

We may amend these Terms from time to time. The version in force at the time you place an Order applies to that Order. The date at the top of this page shows when these Terms were last updated. Material changes will be communicated to registered account holders.

20. Governing law and jurisdiction

These Terms and any Contract formed under them are governed by the law of the Republic of Lithuania.

Disputes with business customers are subject to the exclusive jurisdiction of the competent courts of the city of Vilnius, Republic of Lithuania, according to the registered office of Aromawest, MB.

Where the Customer is a consumer, this does not deprive the consumer of the protection of mandatory rules of the law of the country in which the consumer is habitually resident, nor of the right to bring proceedings in the courts of that country.

21. Complaints

Please raise any complaint with us first at wholesale@aromawest.com. Consumers may also contact the State Consumer Rights Protection Authority of the Republic of Lithuania; details are in our Legal Notice.

22. General

  • Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in force.
  • No waiver. A failure or delay by us in enforcing any provision is not a waiver of that provision.
  • Assignment. You may not assign or transfer your rights under a Contract without our written consent. We may assign our rights on notice to you.
  • Entire agreement. These Terms, together with the documents referred to in them, constitute the entire agreement between us in relation to the Goods and supersede any prior understanding, save for any separate written supply agreement signed by both parties, which prevails to the extent of any conflict.
  • Language. These Terms are published in English. The English version is the governing version.
